Seeking an experienced attorney to oversee corporate legal matters, with a primary focus on fundraising, securities compliance, and investor relations.
Responsibilities
- Lead equity fundraising, including investment agreements and share issuances.
- Advise on securities laws, corporate governance, and regulatory compliance.
- Draft, review, and negotiate contracts, shareholder agreements, and other legal documents.
- Represent the company in legal disputes, claims, and litigation, or coordinate with external counsel when necessary.
- Oversee corporate legal matters and manage legal risks.
Qualifications
- Licensed attorney in good standing in a relevant U.S. jurisdiction.
- Experience in corporate law, securities regulations, and equity fundraising.
- Litigation experience or the ability to manage external litigation counsel.
- Ability to work independently and advise leadership on complex legal matters.
Compensation
Equity only, with cash compensation anticipated after funding.
